Amendments to the Law on state registration of legal entities, individual entrepreneurs and public organizations
On the 26th of September amendments to the Law "On State Registration of Legal Entities, Individual Entrepreneurs and Public Organizations" entered into force.
Due to these changes, the Law was supplemented with regulations related to registration actions without the participation of the state registrar, in automatic mode using the Unified state web portal of electronic services.
In particular, the first part of Article 25-1 of the Law contains a list of registration actions that can be carried out automatically:
- state registration of an individual as an entrepreneur;
- state registration of changes to information about an individual entrepreneur;
- state registration of termination of business activity by an individual entrepreneur, except for state registration of termination of business activity of an individual entrepreneur in connection with his death, declaration of death or recognition as missing;
- state registration of the creation of a legal entity on the basis of a model charter;
- state registration of changes to information about a legal entity, which is carried out solely on the basis of the information specified by the head of the legal entity in the application, and does not require a decision of the participants of the legal entity, in particular, a change in the location of the legal entity, types of activities, information for communicating with the legal entity;
- state registration of changes to information about a legal entity that requires a decision by the participants of the legal entity (except for decisions regarding the size of the statutory (composite) capital, the size of the shares in the statutory (composite) capital, the composition of the participants or the head of the legal entity), - subject to unanimous decision-making by such participants, which is confirmed by their qualified electronic signatures;
- state registration of a decision to terminate a legal entity or to withdraw a decision to terminate a legal entity, made by its participants or a relevant body of a legal entity, subject to the unanimous adoption of a decision by such participants or a relevant body of a legal entity, which is confirmed by their qualified electronic signatures.
